Terms of Service

1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "User") and TruSoftware LLC ("Company," "we," "our," or "us"), governing your access to and use of the Clipiphany application, website, and related services (collectively, the "Service").
By creating an account, downloading the application, or otherwise accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Service.
2. Eligibility
You must be at least 13 years of age (or the applicable age of digital consent in your jurisdiction) to use the Service. By using the Service, you represent and warrant that you meet this requirement and have the legal capacity to enter into these Terms.
3. Account Registration
To access certain features of the Service, you must create an account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain the security and confidentiality of your login credentials
- Promptly update your account information if it changes
- Accept responsibility for all activity that occurs under your account
You must not share your account credentials with any third party. You are solely responsible for any unauthorized access to your account resulting from your failure to maintain the confidentiality of your credentials.
4. Description of Service
Clipiphany is a clipboard management application that allows you to save, organize, and synchronize clipboard content across multiple devices. Features include clipboard history, cloud sync, screenshots, categories, and cross-platform support. The specific features available to you depend on your subscription plan.
5. Subscription Plans and Payment
5.1 Paid Plans and Free Trial
The Service is available under paid subscription plans. New accounts may be offered a free trial period before the first subscription renewal, as described in Section 5.3. Paid plans unlock cloud sync, storage capacity, capture tools, and extended history retention.
5.2 Billing
Paid subscriptions are billed on a recurring basis (monthly or annually) through Stripe, Apple App Store, or Google Play, depending on your platform. By subscribing, you authorize recurring charges to your chosen payment method. All fees are stated in U.S. dollars unless otherwise indicated.
5.3 Free Trials
We may offer free trial periods for paid subscription plans. At the end of a trial period, your subscription will automatically convert to a paid subscription unless you cancel before the trial expires.
5.4 Cancellation
You may cancel your subscription at any time. Upon cancellation, you will retain access to paid features until the end of your current billing period. No refunds will be issued for partial billing periods.
For subscriptions purchased through Apple App Store or Google Play, cancellation must be performed through the respective platform's subscription management. We cannot cancel App Store or Google Play subscriptions on your behalf.
5.5 Refunds
All fees are non-refundable except as required by applicable law. For subscriptions purchased through Apple or Google, refund requests must be directed to the respective platform.
5.6 Price Changes
We reserve the right to modify pricing at any time. Price changes will not affect your current billing period and will take effect at the start of your next renewal. We will provide reasonable advance notice of any price increases.
6. Acceptable Use
You agree not to use the Service to:
- Violate any applicable law, regulation, or third-party rights
- Store, transmit, or distribute malware, viruses, or other harmful code
- Attempt to gain unauthorized access to the Service, other users' accounts, or our systems
- Interfere with or disrupt the integrity or performance of the Service
- Reverse engineer, decompile, or disassemble any aspect of the Service
- Use the Service for any illegal, fraudulent, or abusive purpose
- Use automated means (bots, scrapers, etc.) to access the Service without our written consent
- Circumvent any usage limits, storage quotas, or access restrictions
We reserve the right to suspend or terminate your account if we reasonably determine that you have violated these Terms.
7. User Content
You retain all ownership rights to content you store through the Service ("User Content"). By using the Service, you grant us a limited, non-exclusive license to store, process, and transmit your User Content solely for the purpose of providing the Service to you.
You are solely responsible for your User Content and represent that you have all necessary rights to store such content through the Service. We do not monitor, review, or access your clipboard content except as necessary to provide the Service or as required by law.
8. Intellectual Property
The Service, including all software, design, trademarks, logos, and documentation, is owned by TruSoftware LLC and is protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any right, title, or interest in the Service except for the limited right to use the Service in accordance with these Terms.
9. Privacy
Your use of the Service is subject to our Privacy Policy, which describes how we collect, use, and protect your information. By using the Service, you consent to the practices described in the Privacy Policy.
10. Service Availability
We strive to maintain high availability of the Service but do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to provide advance notice of planned downtime.
11. Termination
You may terminate your account at any time by deleting your account through the application settings. We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice.
Upon termination, your right to use the Service ceases immediately. We will delete your account data in accordance with our Privacy Policy. Sections of these Terms that by their nature should survive termination will survive, including but not limited to Sections 7, 8, 12, 13, 14, and 15.
12. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
We do not warrant that the Service will meet your requirements, operate without interruption, be error-free, or that defects will be corrected. You use the Service at your own risk.
13. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall TruSoftware LLC, its officers, directors, employees, agents, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or use, arising out of or related to your use of or inability to use the Service, regardless of the theory of liability (contract, tort, strict liability, or otherwise), even if we have been advised of the possibility of such damages.
Our total cumulative liability to you for all claims arising out of or related to these Terms or the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the event giving rise to the claim, or fifty U.S. dollars ($50.00), whichever is greater.
14. Indemnification
You agree to indemnify, defend, and hold harmless TruSoftware LLC and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or third-party rights; or (d) your User Content.
15. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Travis County, Texas, and you consent to the personal jurisdiction of such courts.
16. General Provisions
- Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and us regarding the Service and supersede all prior agreements.
- Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
- Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
- Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
- Force Majeure: We shall not be liable for any failure or delay in performing our obligations due to causes beyond our reasonable control.
17. Changes to These Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. For material changes, we will provide notice via email or a prominent notice within the Service. Your continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.
